Fund Mandate

Alcreo Capital - Fund I

Alcreo Capital Fund I is focused on acquiring a diversified mix of core and value-add real estate including retail, multifamily, self-storage, and office, across high-growth markets in Utah. The fund targets properties with strong existing traffic, favorable underlying zoning, and long-term upside through strategic leasing, renovation, expansion, or repositioning. We target a blended going-in cap rate of 6.25% or higher across the portfolio with clear value-creation potential, particularly where operational or physical improvements can unlock stabilized cash flow and appreciation.

The fund will first build a $100M portfolio at a 6.25% going-in cap rate. Once that is in place, we will use conservative leverage (no more than 30% LTV through Year 10) and a dividend reinvestment strategy to acquire additional properties and rapidly pay debt down, with the goal of growing to $150M in properties over the life of the fund. We will also develop select properties with a higher and better use. Between Years 11 and 13, the fund plans to refinance the portfolio at up to 50% LTV to return a majority of investors' capital.

Our investment approach prioritizes:

Location

High-visibility retail corridors and established neighborhoods with durable local demand

Economic Focus

We leverage Utah's robust economy and growing job market for optimal investment opportunities.

Strategic Targets

Neighborhood retail centers, multifamily, self-storage, and select redevelopment sites

Quality Tenants

Strong tenant mix or opportunity to re-lease at higher rents

Zoning

Zoning flexibility to allow for future redevelopment or repositioning

Expansion

Leverage capped at 30% LTV plus reinvested cash flow allows the fund to grow from $100M toward $150M in properties without additional capital calls.

Business Plan

Cap Rate-Driven Upside

Through disciplined asset management and strategic lease execution, Alcreo Capital targets measurable rent growth across its portfolio. For example, an average rent increase of just $3 per square foot across a 250,000 square foot portfolio results in a $750,000 annual increase in net operating income. When capitalized at a 6.25% cap rate, this improvement translates to approximately $12 million in value creation, without additional capital investment or expansion. This approach exemplifies our commitment to driving long-term returns through operational excellence and targeted value-add strategies.

Acquire Value-Add Real Estate

Target properties with a blended going-in cap rate of 6.25%+ and long-term upside through under-market rents, underutilized land, mismanagement, or deferred maintenance.

Leverage to Grow, Then Pay Down

After acquiring the initial $100M portfolio, use leverage of no more than 30% LTV (through Year 10) to add properties. Years 3–5 are a dedicated principal paydown phase: cash flow goes to the loan instead of distributions, cutting the balance by about half. Target: $150M in properties over the life of the fund.

Create Forced Equity

With each acquisition, we raise dedicated reserves and capital improvement budgets to unlock value through targeted interior and exterior upgrades, lease-up strategies, and selective development.

Drive NOI Through Rent Growth

Execute capitalized rent increase strategies with a focus on tenant repositioning and lease re-trades.

05

Develop Higher and Better Uses

Where zoning and location support it, develop or redevelop select properties to their highest and best use to create additional value.

Fund I Timeline & Strategy

Fund Duration: 15 Years (2026–2041)

Additional funds are anticipated following Fund I.

Years 1-2

Raise equity and acquire a $100M portfolio at a 6.25%+ going-in cap rate. Implement active management and value-add strategy. Close the fund to new investors.

Years 3-5

Add leverage of no more than 30% LTV in Year 3 to acquire additional properties. Principal paydown phase: all cash flow after debt service pays down the loan (from about $45M to about $24M by Year 5); distributions pause and the 6% preferred return accrues.

Years 6-10

Distributions resume at roughly 6.7%–7.9% per year, including catch-up of the accrued preferred return, while the loan continues to fall to about $10M by Year 10. Continue growing toward $150M in properties and develop select properties with a higher and better use. Transparent reporting throughout.

Years 11–15

Cash-out refinance at up to 50% LTV, expected between Years 11 and 13 (modeled in Year 11), returns a majority of investor capital (about $62M of the $100M) and all unpaid preferred return. Years 12–15: ongoing distributions of roughly 4.6%–6.7% on original capital (much higher on the capital still invested), then sale of the full portfolio in Year 15.

Consider structured 1031 exchanges into future funds to preserve capital and defer taxes.

PPM/Operating Agreement Language

Class A vs. Class B

80

Class A Shares

Available to the general investor base and represent up to 80% of total fund equity. These investors will receive a 6% preferred return, followed by a 70/30 split of remaining profits (70% to LPs / 30% to GP).

20

Class B Shares

Reserved for strategic or early investors and represent up to 20% of total fund equity. These investors will receive a 6% preferred return, followed by an enhanced 80/20 profit split (80% to LPs / 20% to GP).

Eligibility for Class B Shares may be based on factors such as early commitment, minimum investment size, or strategic contribution to the Fund’s growth. Class B Shares will not dilute the preferred return or profit distribution owed to Class A investors. The Fund Manager will maintain discretion to allocate Class B Shares based on investor profile, contribution timing, or strategic value to the Fund.

Alcreo's principals act as the brokers on fund acquisitions. Rather than taking that income home, Alcreo reinvests an amount equal to 1% of each purchase price into the fund as GP equity, held as reserves. This comes from Alcreo's share of the brokerage commission (half of a typical 3% commission, or about 1.5%), net of taxes and expenses. This keeps GP transaction income working inside the fund and aligns our incentives with LPs. Alcreo also reinvests an amount equal to 1% of the total lease value of each commercial lease it brokers at fund properties into the fund’s reserves.

  • No GP catch-up. The promote is calculated on a cumulative, whole-fund basis and is subject to clawback.
  • Distributions from operating income (rents) count toward the preferred return; any shortfall accrues and is paid from future cash flow, refinancing or sale proceeds before any other step.
  • The GP's co-investment (reinvested brokerage commissions) receives its pro rata share of Steps 1 and 3 alongside investors, with no promote on that capital.
  • All waterfall, fee and capital account activity is tracked via Juniper Square and a third-party fund administrator.

Why Invest in This Strategy?

Fund I is a diversified, income-first strategy across multiple commercial asset classes in Utah's high-growth Wasatch Front. Each asset type plays a defined role in the portfolio, and every acquisition is underwritten to in-place cash flow, 5% reserves and a blended 6.25%+ going-in cap rate. we are uniquely positioned to manage a wide variety of properties and have the industry experience to perform value adds on all of these categories of real estate.

Land / Development

By count. Retail is the majority of current pipeline value; the mix will broaden as the fund deploys capital.

Asset Classes & Their Role

Neighborhood & Strip Retail — the core (9 of 16)

Necessity-based centers on high-visibility corridors with daily-needs tenants (medical, QSR, fitness, service retail). Strong in-place returns, relatively hands-off management, and meaningful upside from under-market rents and re-leasing. Not national malls: demand is local and recession-resilient.

Self-Storage

Stabilized facilities with steady cash flow and upside through rate management, occupancy gains and expansion.

Multifamily — when the numbers work

Infill apartments in established Salt Lake neighborhoods, acquired selectively when pricing meets our return targets.

Land & Development — banking land

A small number of well-located development lots, added only when they fit our risk appetite (e.g., 2420 and 2725 E 3300 S). Well-located land is scarce, and holding it creates long-term value through future development or sale.

What We Look For

  • Daily-needs tenants
  • Strong underlying zoning and redevelopment potential
  • Under-market rents and low replacement cost per SF
  • Smaller average unit sizes or the ability to create smaller units

Diversification across asset types, tenants and submarkets, combined with low leverage and long-term discipline, is designed to deliver durable income through economic cycles.

7

Utah Market & Our Opportunity

Salt Lake City Market Outlook — Q3 2026

Why a Cash Fund, Why Now

  • Rates are high and rising: the 10-year Treasury climbed above 5% in October 2026, near a 24-year high, and commercial refinancing rates sit around 6–7% versus 3–4% when many loans were originated. Leveraged buyers struggle to make deals pencil, and transaction activity has been stale.
  • Sellers are under pressure: roughly $875 billion of commercial real estate loans mature nationally in 2026. Owners facing maturities or higher debt costs increasingly value the speed and certainty of a cash buyer.
  • Our edge: as active local brokers and operators, our principals can complete substantial due diligence on a property before going under contract, so we can move quickly with conviction.
  • Our plan: buy with cash now, add conservative leverage (≤30% LTV) over the coming years as we expect this window to persist, then use the portfolio's core cash flow to pay that debt down.

Tight Supply

  • Retail vacancy of 4.0%, the lowest among major Mountain and West Coast markets; multi-tenant vacancy 3.2%
  • Only 185,000 SF delivered in H1 2026, the lowest January–June total on record; under 400,000 SF under construction
  • Projected 19th consecutive year of positive net absorption

Rents & Pricing

  • Average asking rent is down 5.2% from its June 2025 peak of $23.68/SF (multi-tenant down 9.6%), a buying window while vacancy stays tight
  • Sales volume up 40% over the 12 months ending June 2026 as pricing resets

A Resilient, Growing Economy

  • Utah jobs up 1.4% year over year (July 2026), 4th-highest among states, versus 0.3% nationally
  • Taxable retail sales up 4.9% in H1 2026
  • Utah has the youngest median age of any state and continues to add population

2034 Winter Olympics

  • Economic impact: Hosting the 2034 Winter Olympics is projected to generate approximately $6.6 billion in total economic output for Utah between 2024 and 2035, including nearly $3.9 billion in state GDP and over 42,000 job-years of employment .

Risk Mitigation

PROTECT YOUR INVESTMENT Through Diversification

DIVERSIFIED PORTFOLIO

  • The fund targets a $100M diversified portfolio across retail, multifamily, and self-storage, reducing concentration risk

ACCELERATED DEBT PAYDOWN

  • Leverage is capped at 30% LTV through Year 10 and is only added after the initial $100M portfolio is in place. A Years 3–5 principal paydown phase and reinvested cash flow cut the loan from about $45M to about $10M by Year 10. The Year 11–13 refinance may go up to 50% LTV.

STRONG FUNDAMENTALS

  • In-place cash flow at acquisition
  • Favorable underlying zoning for long-term flexibility
  • Durable tenant profiles

DISCIPLINED UNDERWRITING

  • Emphasis on stabilized locations, value-add potential, and a blended going-in cap rate of 6.25% or higher

9

Institutional Fund Structure

  • Single-asset entities. Each property is held in its own special-purpose LLC (Alcreo Income 1, LLC, Alcreo Income 2, LLC, etc.), wholly owned by the Fund, isolating liabilities and keeping lender, tax and accounting records clean.
  • Separation of roles. The General Partner (Alcreo Capital Fund I GP, LP, managed by Alcreo Capital Partners GP, LLC) controls the Fund; the Investment Manager (Alcreo Capital, LLC) runs day-to-day operations under a written management agreement; investor capital stays inside the Fund and its property entities.
  • Independent oversight. Third-party fund administration, Juniper Square investor reporting, annual audited financials and an LP Advisory Committee that reviews conflicts of interest and valuations.
  • Aligned economics. The GP reinvests its brokerage commissions as GP capital, and the 1% management fee is subordinated to investors’ 6% preferred return.

10

Property Identification

What to Expect When We Identify a Target Property

At Alcreo Capital, our acquisition process is designed to move quickly and transparently once a qualified asset is identified. Here’s what our partners can expect:

1

Initial Identification & Underwriting

  • Target meets our acquisition criteria (6.25%+ going-in cap, strong zoning, value-add potential)
  • Internal team conducts site visits, lease audits, and financial underwriting
2

Investment Committee Review

  • Full internal review of NOI, tenant mix, comps, risk profile, and upside strategy
  • If approved, Alcreo issues LOI or PSA and begins due diligence and negotiation
3

Due Diligence & Business Plan Finalization

  • Legal, physical, and financial DD (zoning, rent rolls, title, etc.)
  • Value-add strategy and capex budget finalized
  • Asset-specific cash flow projections prepared
4

LP Communication & Deployment

  • Fund investors notified via Juniper Square with deal summary and allocation update
  • Capital is deployed from Fund I, with reserves allocated per strategy
  • Property placed under management and transitioned into the portfolio

Our vertically integrated approach ensures each acquisition is aligned with fund-level goals and underwritten for long-term value creation. We will repeat this process 15+ times depending on deal size, close the fund and operate.

Financial Model — Key Assumptions

Model Assumptions

Pipeline Economics

  • Intended acquisition price: $83.2M across 16 properties
  • In-place NOI: $5.46M per year
  • Blended going-in cap rate: 6.56% (6.25% including 5% reserves)
  • Phase 1: $100M portfolio at 6.25% going-in cap = about $6.25M annual NOI
  • Phase 2: leverage of no more than 30% LTV plus dividend reinvestment grows the portfolio toward $150M
  • At $150M, 30% LTV caps fund debt at $45M; at a 6.25% cap rate, a $150M portfolio would produce about $9.4M annual NOI (illustrative)

Financial Outlook — An Income-First Fund

Target Returns

Alcreo Capital Fund I is built for durable income with disciplined deleveraging. Distributions start at roughly 4.4%–6.3% in Years 1–2. After the Year 3 leverage draw, Years 3–5 are a principal paydown phase: cash flow retires debt instead of being distributed, and the unpaid 6% preferred return accrues. Distributions resume in Year 6 at roughly 6.7%–7.9%, including catch-up of the accrued pref. A refinance at up to 50% LTV (expected Years 11–13) then returns a majority of investors' capital, after which distributions continue at roughly 4.6%–6.7% of original capital.

Long-Term Approach

We take a long-term, fundamentals-driven investment approach that positions us to capitalize on multiple value drivers. Consistent cash flow, principal paydown, and strong market appreciation.

By targeting stabilized retail assets in high-growth markets, we are able to deliver reliable dividend income while steadily building equity through loan amortization and operational efficiency.

15-Year Investor Projection

Year 1 reflects properties closing during the year. Year 3 reflects debt-funded acquisitions. Years 3–5 are a principal paydown phase (no distributions; the 6% pref accrues and is caught up from Year 6 and the refinance). Refinance modeled in Year 11; expected between Years 11 and 13. Distributions are net of fund expenses and the subordinated management fee. Cash yields are on the original $100M of capital. Illustrative only.

17

Refinance (Years 11–13): Returning Investor Capital

By Year 10 the portfolio is projected to be worth about $198M with a loan balance of about $10.2M (5% LTV), thanks to the Years 3–5 paydown phase. The fund then refinances at up to 50% LTV, expected between Years 11 and 13 (modeled in Year 11), freeing about $88.0M of cash.

~$62M

Investor capital returned early

  • All unpaid preferred return is caught up in Year 11.
  • Returned capital reduces investors' remaining capital at risk while they keep full participation in the portfolio.
  • Refinance proceeds are loan proceeds, which are generally not taxable when distributed (consult your tax advisor).
  • The higher Year 11 loan increases debt service in Years 12–15, so ongoing distributions are lower in dollars but much higher relative to the capital investors still have in the fund.
  • Deferred management fees (about $11.0M) are paid only after investors’ preferred return is fully caught up.
